Terms of Service

These Terms of Service ("Terms") govern your purchase and use of services from Vortex Marketing ("Vortex," "we," "us," or "our"), based in Ontario, Canada. By purchasing a package, submitting a request, or using our website, you agree to these Terms. If you do not agree, please do not use our services.

1. Our Services

Vortex provides website design, search engine optimization (SEO), Google Business Profile and Google Analytics setup, and optional AI automation agents (such as missed-call text-back). The specific deliverables for your project are those described on our website and confirmed with you before work begins.

2. Pricing & Payment

• Website Design + SEO: a one-time payment of CAD $400.
• AI Agents: a recurring subscription of CAD $50 per month, with no setup fee. The first month is charged at signup and the subscription renews automatically each month until cancelled.

All prices are in Canadian dollars (CAD). Payments are processed securely by Stripe; we never see or store your full card details. Prices are current at the time of purchase and may change for future purchases. As a small supplier, we do not currently charge GST/HST; if we become required to register, applicable taxes will be added and shown at checkout.

3. Subscription Renewal & Cancellation

The AI Agents subscription renews automatically every month and your card is charged until you cancel. You may cancel at any time through the Stripe customer portal (the "Manage Subscription" link in our website footer) or by emailing us. When you cancel, your subscription remains active until the end of the current paid month and is not renewed afterward. We do not provide refunds for the current month or for partial months already started.

4. Refunds

• Website Design + SEO (one-time): because this involves custom work, fees become non-refundable once design or setup work has begun. If you cancel before any work has started, you may request a full refund.
• AI Agents (subscription): you can cancel anytime to stop future charges; monthly fees already charged are non-refundable.

If you believe you were charged in error, contact us and we will review it promptly and fairly.

5. No Guarantee of Specific Results

SEO and online marketing results depend on factors outside our control — including search engine algorithms, competition, your market, and your own business activity. We use reasonable, ethical, best-practice methods, but we do not guarantee any specific ranking, position, amount of traffic, number of leads, or revenue. Any examples, ranges, or figures shown on our website are illustrative and are not a promise of results for your business. Search engines (such as Google) are independent third parties, and we have no control over their decisions.

6. Your Responsibilities

You agree to provide accurate information, supply the content and access we need to do the work, and confirm that any materials you give us (text, images, logos) are yours to use or properly licensed. You are responsible for the lawful use of any tools we set up for you — including obtaining any required consent before sending automated messages, in line with Canada's Anti-Spam Legislation (CASL) and applicable privacy laws.

7. Ownership

Once your invoice is paid in full, you own the final website, content, and assets we deliver to you, along with your domain and Google Analytics account. We may display non-confidential work we create for you as examples in our own portfolio and marketing unless you ask us in writing not to.

8. Third-Party Services

Our services rely on third parties including Google, Stripe, and email and hosting providers. Your use of those services may be subject to their own terms, and we are not responsible for their availability, decisions, or actions.

9. Limitation of Liability

To the fullest extent permitted by law, Vortex's total liability for any claim arising from our services is limited to the amount you paid us for the service giving rise to the claim in the three (3) months before the claim. We are not liable for indirect, incidental, or consequential losses (such as lost profits or lost business). Nothing in these Terms limits any rights you have under Ontario's Consumer Protection Act or other applicable consumer-protection law that cannot be waived.

10. Changes to These Terms

We may update these Terms from time to time. The updated version applies to purchases made after its effective date. Material changes will be posted on this page with a new effective date.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled in the courts of Ontario, without affecting any consumer-protection rights you cannot legally waive.
